HyreCar Announces Filing of Form S-3 Shelf Registration Statement

LOS ANGELES–(BUSINESS WIRE)–HyreCar Inc. (NASDAQ: HYRE), the carsharing marketplace for ridesharing, announced that it had filed a Shelf Registration Statement on Form S-3 with the Securities and Exchange Commission (“SEC”) on November 5, 2019. At the present time, the Company has no specific plans to issue securities under the registration statement. However, the Company felt it was prudent to file the shelf registration statement as a matter of standard corporate governance at this time along with other quarterly filings to provide the Company with flexibility to access the public capital markets in order to respond to financing and business opportunities in the future.

With this filing the Company also registered a total of 28,571 shares of common stock with a total value of $73,999 for an unaffiliated stockholder, related to some warrants issued by the Company in a previous private placement offering.

Cash totaled $13.1 million at September 30, 2019, an increase of $8.0 million from $5.1 million at the prior quarter ended June 30, 2019. This increase was primarily the result of completion of a secondary offering in July 2019. As a result, we believe the Company has sufficient cash resources to continue operations indefinitely.
